1. Services Rooted North Group provides supply chain consulting, sourcing strategy, and operational advisory services as outlined in each engagement agreement. The scope, timeline, and deliverables for each engagement are defined in a separate Statement of Work (SOW) or proposal.

2. Payment Terms Fees are due as specified in the applicable SOW. Late payments may be subject to a monthly interest charge. Rooted North Group reserves the right to pause work on any engagement with outstanding balances.

3. Confidentiality Both parties agree to keep confidential any proprietary business information shared during the engagement. This obligation survives termination of the agreement.

4. Intellectual Property Work product created specifically for a client becomes the client's property upon full payment. Any pre-existing tools, frameworks, or methodologies used remain the property of Rooted North Group.

5. Limitation of Liability Rooted North Group's liability is limited to the fees paid for the specific engagement. The company is not liable for indirect, consequential, or incidental damages.

6. Termination Either party may terminate an engagement with written notice (typically 14–30 days). Fees for work completed prior to termination remain due.

7. Independent Contractor Rooted North Group operates as an independent contractor, not an employee or partner of the client.

8. Governing Law These terms are governed by the laws of the state in which Rooted North Group is registered.
